Short answer: A foreign company can set up in Azerbaijan as a local LLC (a legal entity with foreign investment), a branch or a representative office. Registration is handled by the State Tax Service under the Ministry of Economy within 2 business days. The paper-filing state fee is AZN 15 for an LLC and AZN 300 for a branch or representative office; electronic registration of an LLC carries no state fee.
LLC, branch or representative office — what actually differs
The registration itself is fast. The real decision comes earlier: which vehicle you use. That choice drives your tax position, your liability exposure and how you operate day to day.
- Limited Liability Company (LLC) — a separate Azerbaijani legal entity. A foreign company or foreign individual may own 100% of it. Liability is limited to the charter capital, and there is no minimum capital requirement.
- Branch — not a separate legal entity but a division of the foreign parent. It can carry out commercial activity in the parent's name, while the parent remains liable for its obligations.
- Representative office — represents and protects the parent's interests: marketing, liaison, market research. It is not designed to generate commercial revenue.
This guide covers commercial entities. Licensed sectors such as banking, insurance and exchanges face additional requirements and need separate analysis.
Side-by-side comparison
| Criterion | LLC | Branch | Rep. office |
|---|---|---|---|
| Separate legal entity | Yes | No | No |
| Commercial activity | Yes | Yes | No (representation only) |
| Who is liable | The LLC itself | Parent company | Parent company |
| State fee (paper filing) | AZN 15 | AZN 300 | AZN 300 |
| Electronic registration | Available, no fee | — | — |
| Minimum capital | None | — | — |
In practice, companies that plan to sign contracts with local clients, bid in public procurement or build a local team usually choose an LLC. A representative office suits the market-testing phase.
Step-by-step process
| Step | What happens | Timing |
|---|---|---|
| 1. Structure | Vehicle, shareholders, director, business activities, legal address | Your decision |
| 2. Home-country documents | Parent's registry extract and charter, board resolution, power of attorney — notarised and apostilled or legalised | Varies by country; usually the longest step |
| 3. Translation and notary | Azerbaijani translation; the application is certified by an Azerbaijani notary (an official who verifies signatures and copies) | Approx. 1–3 business days |
| 4. Filing | At an ASAN service centre, or electronically (LLC) | 1 day |
| 5. State registration | State Tax Service registers the entity and issues a tax ID (VÖEN) | 2 business days |
| 6. Post-registration | Bank account, ASAN İmza e-signature, employment contracts, tax accounting | Approx. 1–3 weeks |
Documents you will need
For an LLC with foreign investment (per the official ASAN service list):
- Application for state registration, notarised
- Copy of the legal representative's (director's) ID
- Details of founders; passport copies for foreign individuals
- Charter in 2 copies, signed by the founder(s) or an authorised representative
- Founders' decision to establish the company and approve the charter
- For a corporate founder — trade register extract or certificate of incorporation, legalised
- Proof of payment of charter capital and state fee
- Power of attorney, if filing through a representative
For a branch or representative office, add the parent's decision to open it and appoint its head, plus notarised and legalised copies of the parent's registration documents and charter.

Six mistakes foreign companies make
- Choosing the vehicle without checking tax consequences. Selling through a "representative office" creates permanent establishment exposure and tax claims.
- Arriving without an apostille. Azerbaijan is a party to the Apostille Convention; documents from non-member countries need consular legalisation. One wrong certification sends the whole file back.
- Using a stale registry extract. An extract obtained months earlier may be rejected — prepare documents close to the filing date.
- Drafting business activities too narrowly. Amending the charter later costs time and money.
- Ignoring the director's immigration status. A foreign director who will work in Azerbaijan needs a work permit and residence permit — a separate procedure.
- Forgetting post-registration duties. Once the tax ID is issued, filing obligations arise — returns may be due even with no activity.
Frequently asked questions

What is the minimum share capital?
None for an LLC. AZN 2,000 for a closed and AZN 4,000 for an open joint-stock company; banks and insurers have special thresholds.
